**Times can be rescheduled once with no penalty if 24 hours notice in given. 

**No Shows will result in loss of call. 

Terms and Conditions

1. Services

  • The Client will receive 5 one-hour coaching calls with Misty Jayne as part of the Program.
  • 3 months of voxer support 
  • The Services must be used within three (3) months.

2. Client Duties

  • The Client agrees to pay 4 monthly payments of $525.00 (for a total of $2,100) for the Services.
  • Late payment fees apply for overdue payments.
  • The Client must actively participate in the Program to achieve success.

3. Term

  • The Agreement is valid for three (3) months.
  • Both parties may choose to renew the Agreement for an additional term.

4. Communication

  • All communication will be via e-mail outside of the scheduled zoom call.
  • Response time is 24-48 hours, excluding weekends and holidays.

5. Cancellations and Refunds

  • The Client can cancel participation at any time, but no refunds are provided.
  • Abusive behavior can result in termination without a refund.
  • Ineffective participation is not grounds for a refund.
  • Sessions can be rescheduled with notice, and a chargeback is not allowed.
  • The Program and Term cannot be paused or held.
  • Force majeure may lead to rescheduling.

6. No Guarantees

  • Misty Jayne does not guarantee specific outcomes in the Program.
  • Technical issues will be resolved within 72 hours.
  • Misty Jayne does not guarantee third-party services or affiliate links.

7. Confidentiality

  • Client information is kept confidential unless required by law.
  • The Client agrees to keep Misty Jayne's Confidential Information confidential.

8. Ownership of Intellectual Property

  • The Client may use Misty Jayne's Intellectual Property for personal, non-commercial purposes.
  • The Client may not create derivatives or share Misty Jayne's Intellectual Property without permission.

9. Warranties

  • Both parties represent that they have the authority to enter into this Agreement.

10. Limitation of Liability

  • Misty Jayne is not liable for lost profits or indirect damages.
  • Liability is limited to the fees paid by the Client under this Agreement.
  • Breach of confidentiality or obligations is an exception.

11. Entire Agreement; Modification

  • This Agreement is the entire agreement between the parties.
  • Any changes require mutual, written agreement.

12. Neutral Construction

  • The Agreement is not construed against Misty Jayne.
  • Provisions are interpreted fairly.

13. Changed Terms

  • Parties may amend the Agreement in writing, signed by both parties.

14. Assignment

  • This Agreement is binding and cannot be assigned by the Client.

15. Notices

  • Notices are to be in writing and properly addressed.

16. Governing Law; Venue; Mediation

  • This Agreement is governed by Virginia law.
  • Any disputes are subject to mediation before legal action.

17. Recovery of Litigation Expenses

  • The prevailing party may recover attorney's fees and costs.

18. Severability

  • Provisions are reformed if found illegal, but the rest of the Agreement remains in force.
